Agreement
These Terms & Conditions (“Terms”) govern your access to and use of the Nepdrop website (nepdrop.com), the Nepdrop mobile applications, the merchant Org Admin web portal, and all associated services (collectively, the “Services”). By using any part of the Services you agree to these Terms.
Eligibility
You must be at least 18 years old, or the legal age of contract in Nepal, to use the Services. Businesses signing up must be lawfully registered to operate in Nepal.
Accounts
- You are responsible for keeping your account credentials confidential.
- You are responsible for all activity that happens under your account.
- You must provide accurate, current, and complete information when registering.
- Nepdrop reserves the right to suspend or terminate accounts that violate these Terms.
Use of the Services
You agree NOT to use the Services to:
- Violate any law, regulation, or third-party right
- Send illegal goods, hazardous materials, or items prohibited by our partners
- Defraud users, including making false COD claims or refusing deliveries in bad faith
- Reverse-engineer, scrape, or otherwise abuse the platform's systems
- Send unsolicited messages or spam through our notification channels
Courier Service
- Delivery timelines are best-effort and may be affected by weather, strikes, road closures, and other factors beyond our control.
- Senders are responsible for accurate packaging and labeling.
- Compensation for damaged or lost parcels is limited per our shipping terms; sellers may purchase additional insurance.
- Return-to-origin (RTO) charges apply when a buyer refuses delivery or the recipient cannot be reached.
Storefront & ERP
- The branded storefront, accounting tools, and CRM are provided “as-is” as bundled benefits of using the Nepdrop courier service.
- Sellers retain ownership of their content (products, brand, customer relationships).
- Nepdrop reserves the right to suspend storefronts that violate these Terms or applicable law.
Payments & Fees
- Courier fees are charged per parcel and disclosed at the time of booking.
- Cash-on-Delivery (COD) settlements are remitted to seller bank accounts net of applicable charges, on the schedule disclosed in the Org Admin portal.
- Drivers are paid per delivery on the payout schedule disclosed in the Driver app.
Intellectual Property
The Nepdrop brand, software, designs, and content (excluding user-uploaded content) are owned by Nepdrop. You may not copy, modify, distribute, or create derivative works without our prior written permission.
Disclaimers
The Services are provided “as is” and “as available”. To the extent permitted by law, Nepdrop disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
Limitation of Liability
To the maximum extent permitted by law, Nepdrop's aggregate liability for any claim arising out of or related to the Services is limited to the fees you paid to Nepdrop in the 3 months preceding the claim.
Termination
You may stop using the Services at any time. Nepdrop may terminate or suspend access to the Services without notice for breach of these Terms. Provisions that by their nature should survive termination will survive (intellectual property, disclaimers, limitations of liability, indemnities).
Governing Law
These Terms are governed by the laws of Nepal. Any disputes will be subject to the exclusive jurisdiction of the courts in Kathmandu.
Changes
We may update these Terms from time to time. Material changes will be announced in-app or by email at least 14 days before they take effect.
